Administrator(s), Sponsor(s) & Prize Provider(s): CBS Interactive Inc. ("CBSI") and CBS Broadcasting Inc. (“CBS”)

Contest Entities: CBSI and CBS

1. Acceptance of Rules. By entering the "FEEL GOOD FRIDAY Contest" (the "Promotion"), connected to the CBS TV Show, "The Talk" (the "Show") you hereby accept and agree to these official rules (the "Official Rules") of this Promotion and the decisions of the Administrator in connection with this Promotion, whose decisions are final.

No purchase, entry fee or use of wireless device is necessary to enter or win. If you are a wireless service subscriber and have a smartphone, tablet or other wireless device that allows you access to the Internet, you may also access the Promotion via any of those devices during the Promotion Period (as defined below). If you choose to access this Promotion via any of those wireless devices, you may be charged data rates in accordance to the Terms and Conditions of the Service Agreement with your carrier.

2. Eligibility. This Promotion is offered and open to persons who are: (a) legal residents of the United States; (b) 13 years of age or older at the date of submission of nomination into this Promotion. Employees, directors, and the immediate family members of the Contest Entities and their parents, affiliated and subsidiary companies, advertising and promotion agencies and legal and financial advisors are not eligible to participate in this Promotion. For purpose of the foregoing, "immediate family" means parents, spouses, children, siblings or any members of the same households of such employees and directors. This Promotion is void in all U.S. territories and possessions and where prohibited by law. NOTE: both nominator(s) and nominee(s) who are between the ages of 13 & 18 need parental or legal guardian's consent prior to participation.

3. Promotion Period: The Promotion begins on October 2, 2020 at 11:00 a.m. Pacific Time ("PT") and ends at 11:59:59 p.m. PT on November 29, 2020 (the "Promotion Period"). Administrator is the official timekeeper of the Promotion. During the Promotion Period the Sponsor will award up to ten (10) Prizes (as set forth below), one (1) per chosen Nominee (up to 10 Nominees may be chosen), in accordance with the terms herein.

4. How it Works. Viewers will be asked to nominate someone (or themselves) from their neighborhood or close friends, who they feel is worthy of being featured as a local hero, who is making life better, easier, safer, or happier for in your community. Nominate a person who you think should be eligible and/or deserves to win a Prize. Viewers must submit an original and true short story that talks about the nominee (the "Nominee") and explains how this person goes above and beyond for their neighbors, neighborhood and/or their community. The stories should be written keeping the following guidelines in mind: (a) who do you think goes above and beyond? (b) who uplifts the neighborhood? (c) who is always ready to help?

To nominate a neighbor/person, please send an email to ThetalkviewerSubmissions@cbs.com (the "CBSI Service") that: (a) includes, without limitation, your first name, last name, your email address, your Nominee's full name, city/state of residence and; (b) the short story of why your Nominee deserves to win a Prize. Please Note: The Show will contact the person submitting the Nominee via the email the nominator provides in the Nomination email. Nominees must be 18 years old or age of majority in state of residence at time of nomination. Limit of one unique Nominee per nominator.

Sponsor reserves the right to edit the Story and information provided.

A panel of judges will judge all Nominations throughout the Promotion Period. The judges (comprised of CBS Employees, the "Judges" and collectively the "Judging Panel") will determine the winning Nominee(s) (up to ten (10) throughout the Promotion Period based on the following criteria: compelling story (50 points); emotional impact (30 points) and quality of writing (20 points) (the "Criteria"). The decisions of the Judging Panel are final and binding in all respects. The chosen Nominee(s) will be notified through the email address of the viewer who submitted the Nomination email. We will communicate with the chosen Nominee through the viewer who submitted the Nomination email. The chosen Nominee will be asked to provide their personal information, such as their name, physical address, date of birth and phone number in order to confirm eligibility and compliance with these Official Rules. If a chosen Nominee cannot be reached after a reasonable effort has been made during two (2) days from the first notification attempt, such person may be disqualified with an alternate Nominee selected in accordance with these Official Rules. Administrator will only select one (1) alternate Nominee. If no contact has been made with such alternate Nominee after two (2) days, such prize shall not be awarded. Unclaimed prizes will not be awarded. Chosen Nominee(s) herein referred to as "Winner(s)." Note: nominators are solely responsible for checking their spam email box to timely provide any further information needed by Administrator to confirm/verify chosen Nominee as a Winner.

5. Entry Specifications and Release. Story(ies) must be in English and shall not have any, profanity, obscenities and must be an original creation of the viewer. Viewer must have permission from the Nominee to submit the Nomination. Viewer(s) by submitting a Nomination you agree that the Contest Entities shall have the right and permission to use such submission (including your name or other identifying information) for advertising, promotional, and/or any other purpose in any media without additional compensation or further notification to you unless prohibited by law; provided, however that the Contest Entities will not use the Winner's name and photograph, or other identifying information for any purpose, other than in connection with this Promotion, without authorization from the Winner. You hereby grant the Contest Entities a perpetual, worldwide, royalty free license to publish your story on the CBSI Service and/or broadcast during the Show, with no compensation to you other than getting the story published on the CBSI Service or broadcast during the Show. Story(ies) submitted must be suitable for presentation in a public forum, in the sole determination of Contest Entities. Sponsor and Administrator reserve the right to reproduce the story(ies) in full or edit and enhance the story(ies) at their discretion. No story will be returned to viewer(s). Administrator will not be responsible for lost, stolen or misplaced story(ies).

6. Prizes. The Promotion will award up to ten (10) grand prize (the "Prize(s)"). Each Prize consists of one (1) check for One Thousand Dollars (US$1,000.00).

7. Prize Restrictions. No assignment, transfer, conversion to cash or cash redemption or substitution of any Prize or any portion of any Prize is permitted, except Sponsor reserves the right to substitute a Prize or any of its components with a prize of comparable or greater value should a Prize or any of its components become unavailable or for any other reason needs to be exchanged. Prize(s) are solely for personal use and may not be used in conjunction with any other promotion.

8. Prize Taxes. All federal, state, local and other tax liabilities arising from this Promotion, including, without limitation, winning a Prize, will be the sole responsibility of each Winner.

9. Affidavit of Eligibility/Liability Release and Publicity Release. Winners will be required to complete, execute and return within five (5) days from notification of winning a Prize: (a) an Affidavit of Eligibility/Liability Release (the "Affidavit"); (b) where lawful, a Publicity Release (together with the Affidavit, the "Release Forms"); and (c) and a W-9 tax form. Failure to return Release Forms in a timely manner, or if the Prize notification or Prize is returned as non-deliverable, or if a Winner is found not to be eligible or not in compliance with these Official Rules, may result in disqualification with an alternate Winner selected in accordance with these Official Rules. If Winner is a minor, such minor’s parent or legal guardian must provide such parent(s) or legal guardian's personal information in order to claim Prize for the minor.

10. Publicity Release Terms. Except where prohibited by law, a Winner's acceptance of a Prize constitutes permission for the Contest Entities to use Winner's name, photograph, likeness, statements, story, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation.

11. Improper Conduct. Administrator, in its sole discretion, may disqualify any user from participation in or use of any or all portions of this Promotion, and refuse to award a Prize, if user engages in any conduct Administrator deems to be improper, unfair or otherwise adverse to the operation of the Promotion or detrimental to other users of the Promotion. Such improper conduct includes, without limitation, falsifying personal information required during user nominating or Prize claim, violating any term or condition stated herein, accumulating Entries through methods, such as automated computer scripts or any other programming techniques, allowing others to use user's personal information for the purpose of accumulating Entries, or intentionally trying to defraud, reverse engineer, disassemble or otherwise tamper with the computer programs in connection with this Promotion. Winner(s) agree that Administrator and/or Sponsor may void any part of a Prize that a Winner may have won and/or require the return of any part of the Prize that a Winner may have won as a result of such improper conduct. Winner(s) further acknowledge(s) that any forfeiture of a Prize and/or return of a Prize shall in no way prevent Administrator from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct.

WARNING: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, EACH OF THE CONTEST ENTITIES RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Integrity of Promotion. If, for any reason, the Promotion is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes which Administrator, in its sole opinion believes could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion. ,Administrator reserves the right at its sole discretion to cancel, terminate, modify or suspend this Promotion and select the Winner(s) from submission received prior to the action taken or in such other manner as Administrator may deem fair and appropriate.

13. Lost or Corrupted Entries. The Contest Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with submissions that are lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage-due mail, if applicable; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of viewer email or other information, or the failure to capture any such information. The Contest Entities and their parents, affiliated and subsidiary companies, advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized in this Promotion, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Promotion.

14. Damaged Property. The Contest Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with injury or damage to any users or to any other person's computer or property related to or resulting from participating in this Promotion or downloading materials from this Promotion.

15. Promotion Errors. The Contest Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with errors and/or ambiguity: (a) in the Promotion; (b) in any related advertising or promotion of this Promotion; and/or (c) in these Official Rules. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrator reserves the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error (s) without materially affecting the terms and conditions of the Promotion.

16. Prize(s) and Winner(s). The Contest Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you/entrant hereby forever waives any rights to any claim in connection with, the selection and announcement of a Winner, the distribution of a Prize, the acceptance/possession and/or use/misuse of any part of a Prize and/or any injury or damage to any entrant's or third person's property related to or resulting from any part of a Prize or any part of this Promotion.

17. Release and Indemnity. Each user in this Promotion, including, without limitation, the Winner(s), hereby release and agree to hold harmless the Contest Entities and their parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a Prize, participation in this Promotion and participation in any activity related to this Promotion.

18. Limitation of Liability. IN NO EVENT WILL THE CONTEST ENTITIES, THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE PROMOTION OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE PROMOTION. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

19. Disclaimer of Warranties. THE PROMOTION AND PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

20. Identity Disputes. In the event of a dispute as to the identity of a winner based on an email address or wireless phone number, the winning story will be declared made by the Authorized Account Holder of the email address from which the Nominee was submitted. For purposes of these Official Rules, "Authorized Account Holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

21. Binding Arbitration. The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules and/or this Promotion. Any controversy or claim, arising out of, or relating to, these Official Rules and/or this Promotion shall be settled by binding arbitration in accordance with the commercial arbitration rules of JAMS. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, in the City of San Francisco and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

22. Governing Law and Jurisdiction: This promotion is governed by U.S. law and is subject to all applicable federal, state and local laws and regulations. Void where prohibited by law. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Administrator in connection with this Promotion, shall be governed by, and construed in accordance with the laws of the State of California, U.S.A. without giving effect to the conflict of laws and rules thereof, and any matters or proceedings which are not subject to arbitration as set forth in Section 21 of these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the federal and/or state courts of the State of California, San Francisco County,

23. Winners List/Official Rules. For the name of the Winner(s), send a self-addressed stamped envelope for receipt by December 31, 2020 to "Winner's list, FEEL GOOD FRIDAY Contest", c/o CBS Interactive Inc., 1401 W. For a copy of the Official Rules, send a self-addressed stamped envelope to the above address marked "Official Rules: FEEL GOOD FRIDAY Contest" for receipt by December 31, 2020 Residents from VT may omit postage on self-addressed envelope. The full name of the Winner(s) may be posted, and the Official Rules will be posted on the CBSI Service.
